Healing Hypothesis Lab Terms and Conditions

1. Agreement to these terms
These Terms and Conditions ("Terms") govern your use of healinghypothesislab.com (the "Site") and any services you purchase from Healing Hypothesis Lab LLC ("Healing Hypothesis Lab," "we," "us," or "our"). By using the Site, booking a consultation, or paying for services, you agree to these Terms. If you do not agree, please do not use the Site or our services.
2. Our services
We provide virtual and fractional laboratory management, lab setup and optimization, research staff training, regulatory and compliance support, scientific consulting, and wellness programs for research teams. Wellness programs are offered by our parent company, Lifecompass Health & Wellness, LLC.
Written agreements control. Each project or retainer is described in a proposal, statement of work, or services agreement ("Agreement"). If an Agreement conflicts with these Terms, the Agreement controls. If your institution requires its own contract, that contract will control once both parties sign it.
3. Free consultation
Our free 30-minute consultation is an introductory conversation to understand your needs. It does not create a client relationship, and any suggestions shared during it are general in nature. No confidential information should be shared until an Agreement or confidentiality agreement is in place.
4. Quotes, invoices, and payment
Pricing is provided by custom quote after a consultation. Quotes are valid for 30 days.
To pay on the Site, enter your quoted amount, select the package, enter your invoice (quote) number, and click Buy Now. Payments are processed by the payment provider.
Retainers are billed monthly in advance. Project fees are billed [as a deposit of 10% before work begins, with the balance due on delivery / per milestone].
Invoices are due within 15 days. Late payments may incur a fee of 1% per month, or the maximum allowed by law, and we may pause work until the account is current.
Prices do not include travel or other pre-approved expenses, which are billed separately.
5. Cancellations, rescheduling, and refunds
Scheduled sessions and trainings: you may reschedule or cancel at no charge with at least 48 hours' notice. Sessions canceled with less notice, or missed, may be charged in full.
Monthly retainers: either party may end a retainer with 30 days' written notice. Fees for the current month are not refundable.
Projects: deposits are non-refundable, except as stated in the applicable Agreement. If a project is canceled, you will pay for work completed and expenses incurred up to the cancellation date.
Refunds: approved refunds are issued to the original payment method within 10 business days.
If we must cancel or reschedule, we will offer a new time or a full refund for the affected session.
6. Your responsibilities
You agree to provide accurate information and timely access to the people, records, and systems we need to perform the services. You remain responsible for your laboratory's research, staff, and decisions, and for following your institution's policies and all applicable laws and regulations.
7. Compliance and regulatory support
Our regulatory and compliance services, including support with IRB, IBC, IACUC, biosafety, and audit preparation, are operational and advisory. They are not legal advice. Final decisions and approvals rest with your institution, its review committees, and the relevant regulatory authorities.
8. Wellness disclaimer
Wellness content and programs are for educational purposes only and are not medical advice, diagnosis, or treatment. Our founder is a National Board Certified Health & Wellness Coach, not a physician. Always consult a qualified healthcare provider about your individual health, and before changing your diet, supplements, or medications. If you have a medical emergency, call 911.
9. No guarantee of outcomes
We bring our experience and best professional effort to every engagement, but we do not guarantee specific results, including research outcomes, grant awards, publication acceptance, audit results, or health outcomes.
10. Confidentiality
We will keep confidential any non-public information you share with us for an engagement, and use it only to provide the services, unless the Agreement says otherwise or disclosure is required by law. Specific confidentiality terms, including any separate confidentiality agreement, will be set out in your Agreement.
11. Intellectual property
Your materials (data, protocols, research, and other information you provide) remain yours.
Deliverables created specifically for you, such as SOPs and reports, become yours once paid in full, unless your Agreement says otherwise.
Our materials (the Site, our logo, blog posts, templates, checklists, training materials, and methods we used before or outside your engagement) remain ours. You may use any of our materials included in a deliverable for your internal purposes only.
12. Using the Site
You may use the Site for lawful, personal, or business-related purposes. You may not copy or republish Site content without permission, interfere with the Site's operation, or submit false information through our forms. Blog and educational content is general information, not professional advice for your specific situation.

The Site may link to third-party websites and use third-party services such as payment processors. We are not responsible for their content, policies, or practices.
14. Limitation of liability
To the fullest extent permitted by law, Healing Hypothesis Lab will not be liable for any indirect, incidental, special, or consequential damages, including lost data, lost research time, or lost funding. Our total liability for any claim related to the Site or our services will not exceed the fees you paid us for the services giving rise to the claim during the 6 months before the claim.
15. Indemnification
You agree to indemnify and hold Healing Hypothesis Lab harmless from claims arising from your misuse of the Site, your breach of these Terms, or your laboratory's research activities, except to the extent caused by our own negligence or willful misconduct.
16. Independent contractor
We provide services as an independent contractor. Nothing in these Terms creates an employment, partnership, or agency relationship.
17. Governing law
These Terms are governed by the laws of the State of New York. Any dispute will be resolved in the state or federal courts located in New York, New York.
18. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Changes do not affect Agreements already signed.
